Terms of Service

These terms are the agreement between you and Listo Pros. They are written in plain language on purpose. By creating an account or using the service, you agree to them.

What Listo Pros is

Listo Pros is software that helps contractors measure jobs, build estimates, and send them to their customers in English or Spanish. It is a tool. We are not a party to any contract between you and your customer, we do not perform the work, and we do not guarantee that any estimate is accurate, complete, or priced correctly. That is your job as the contractor.

Your account

• You must be at least 18 and able to enter into a contract.
• You are responsible for everything done under your account, including by anyone you invite to it. Keep your password to yourself and tell us promptly if you think it has been used without your permission.
• Give us accurate business information and keep it current.
• One account is for one business. Do not share or resell access to it.

Your responsibilities

You decide what goes into Listo Pros and who it goes out to. That comes with obligations we cannot meet on your behalf.

• Consent before texting.You must obtain your customer’s express consent to receive text messages about their project before you mark them as consenting in the app. Never check that box unless the customer actually said yes. Do not import purchased, scraped, or rented phone lists.
• Customer data. You must have the right to give us the customer information you enter, and you must handle it lawfully. You are the controller of that information; we process it for you.
• Your estimates. Check the numbers before you send. Prices, measurements, tax, and terms are yours, and you are responsible for honoring them.
• The law. You are responsible for your own licensing, insurance, tax, contract, and advertising obligations, and for complying with the telephone and messaging rules that apply where you work.

Text messaging

Listo Pros sends estimate messages from one shared phone number on behalf of every contractor on the platform. By sending an estimate by text, you confirm you have your customer’s consent to do so.

• Messages are transactional only — an estimate link, your business name, the total, and your phone number. Marketing and promotional texts are not permitted through Listo Pros.
• Every message carries an opt-out line. When a recipient replies STOP, that number is blocked across the platform and neither you nor any other contractor can text it again through Listo Pros. Recipients can reply HELP for help.
• Message frequency varies. Message and data rates may apply to the recipient.
• Because the number is shared, replies come to us rather than to you. Your own phone number is in every message so customers can reach you directly.
• We may suspend texting on your account, without notice, if we see complaints, opt-out rates, or content that puts the shared number at risk.

Acceptable use

Do not use Listo Pros to:

• send unsolicited, deceptive, or unlawful messages of any kind;
• impersonate another business or person;
• upload malware, or try to break, overload, or reverse engineer the service;
• access another account’s data, or probe our systems without written permission;
• send content that is unlawful, harassing, or infringes someone else’s rights.

Your content

Your estimates, customer records, pricing, and logo remain yours. You grant us only the permission we need to run the service for you: to store, process, display, translate, and transmit that content on your instruction. We do not use your content to train AI models, and we do not share it with other contractors.

Our content

The Listo Pros software, name, and branding belong to us. These terms do not transfer any ownership in them. You may use the service as it is offered; you may not copy or resell it.

Fees

Listo Pros is currently free to use while it is in early access. If we introduce paid plans we will give account holders clear notice by email before any charge applies, and you will be able to decline and stop using the service.

Third-party services

We rely on other companies to deliver messages, store data, and host the site. Their outages or failures can affect the service. We choose them carefully, but we are not responsible for their acts or omissions. See the Privacy Policy for who they are.

Availability and disclaimer

We work hard to keep Listo Pros running, but the service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error free, or that any message or email will be delivered.

Limitation of liability

To the fullest extent the law allows, Listo Pros is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business, or lost data. Our total liability for any claim relating to the service is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars. Some jurisdictions do not allow these limits, in which case they apply only as far as permitted.

Indemnity

You agree to cover our costs, including reasonable legal fees, for any claim brought against us that arises from your use of the service, your content, your estimates, or your failure to obtain the consents described above.

Suspension and termination

You can stop using Listo Pros and close your account at any time. We may suspend or close an account that breaches these terms, that puts the shared sending number or other users at risk, or where we are required to by law. On closure you can ask us for an export of your data before it is deleted.

Changes to these terms

We may update these terms as the service changes. We will update the date at the top of this page, and for material changes we will email account holders before the change takes effect. Continuing to use Listo Pros after that means you accept the new terms.

Governing law

These terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. You and Listo Pros LLC agree to the exclusive jurisdiction of the state and federal courts located in Pinal County, Arizona for any dispute arising out of these terms or your use of the service.
